Terms of Service

The arrangements that apply to our quotes and assignments.

1. Definitions

In these terms, BITVIRE (BITVIRE) means us, and client means the party that enters into an agreement with us. By software we mean all custom work that we develop for the client.

2. Applicability

These terms apply to all our quotes and agreements, unless we agree otherwise in writing. We expressly reject the client's own general terms and conditions.

3. Quotes and conclusion

Quotes are without obligation and valid for as long as stated, or, failing that, for 30 days. An agreement is concluded as soon as the client confirms the quote in writing or by email.

4. Prices and payment

Prices are in euros and exclusive of VAT, unless stated otherwise. We invoice per agreed phase or period. Payment is made within 14 days of the invoice date, unless agreed otherwise.

5. Execution of the assignment

We carry out the assignment to the best of our insight and craftsmanship. We work in short iterations and keep the client informed of progress. Any stated time frames are indicative and not strict deadlines, unless expressly agreed otherwise. Smooth execution requires the client to provide information and feedback in good time.

6. Changes (additional work)

If the client wishes to expand or change the assignment during execution, we agree on the consequences for planning and price in advance.

7. Intellectual property

After full payment, the client is the owner of the software and source code developed specifically for them. There is no vendor lock-in: you can have the software continued by any party. General knowledge, methods and any reusable components or third-party libraries remain the property of us and their respective rights holders, with a right of use for the client to the extent necessary to use the software.

8. Liability

Our liability is limited to direct damage and to no more than the amount invoiced for the assignment concerned. We are not liable for indirect damage, such as consequential damage, lost profit or loss of data. These limitations do not apply in the event of intent or deliberate recklessness.

9. Warranty and support

We ensure that the delivered software works as agreed. After delivery, we help with questions and the resolution of defects; we agree on the scope and duration per assignment. Further development and new wishes fall outside the warranty and are agreed separately.

10. Confidentiality

We treat all information we receive about the client during the assignment confidentially and do not share it with third parties without consent, except where the law requires it.

11. Termination

Both parties may terminate the agreement, subject to reasonable arrangements regarding work already performed. Work already delivered and hours spent are settled in that case.

12. Applicable law

Our agreements are governed by Dutch law. We submit disputes to the competent Dutch court.
